Where a separate written service agreement or mailbox rental agreement exists, the terms of that agreement shall take precedence in the event of any conflict with these Terms regarding the specific services covered by that agreement.
Our Services include telephone answering services, message services, telephone call forwarding, voice mailbox services, wakeup call services, and local call centers; customer service call centers, online customer service centers, telephone call centers, telemarketing bureaus, telemarketing and telephone solicitation services on a contract or fee basis, and floral wire services; private mail centers, private mailbox rental centers, mailbox rental and parcel mailing services; blueprinting services, copy centers, copy shops, and document copying services; and business service centers providing a range of office support services. Telemarketing, answering, and mail services are subject to applicable communications, telemarketing, and postal regulations, which control where they conflict with these Terms.
We provide telephone answering services, message services (telephone answering), telephone call forwarding services, voice mailbox services, wakeup call services, and local call centers (e.g., answering services, message services).
We provide customer service call centers, online customer service centers, telephone call centers, telemarketing bureaus, telemarketing services and telephone solicitation services on a contract or fee basis, and floral wire services (i.e., telemarketing services), including wire services (i.e., telemarketing services), floral.
We operate private mail centers and private mailbox rental centers, and provide mailbox rental services and parcel mailing services, including those combined with one or more other office support services.
We provide blueprinting services and operate copy centers and copy shops (except combined with printing services), including document copying services (except combined with printing).
We operate business service centers (except private mail centers) providing a range of office support services (except printing).
The specific scope, deliverables, timelines, and pricing for any Engagement are defined in a separate service agreement or order. These Terms govern the general use of our Website and serve as baseline terms for all Engagements unless modified by a separate written agreement.
You are responsible for the accuracy, legality, and completeness of all Client Materials you provide. You represent and warrant that you have the right to provide Client Materials to us and that their use as directed by you will not violate any law or third-party right.
For telemarketing and telephone solicitation engagements, you are responsible for ensuring that call lists, scripts, and campaigns comply with applicable telemarketing laws, including consent, do-not-call, and disclosure requirements. We perform outreach as your agent per your instructions; compliance responsibility for list provenance and script content rests with you unless otherwise agreed in writing.
For answering, messaging, and mailbox services, you are responsible for providing accurate instructions, contact lists, and forwarding information, and for keeping them current. For mailbox rental, you are responsible for providing accurate identity verification information as required by postal regulations and for the legality of items mailed or received through your mailbox.
For copying and blueprinting services, you represent that you have the right to reproduce the documents you submit, and you are responsible for compliance with copyright and other applicable laws.
All Content on our Website is the property of CHRT HOLDINGS LLC or its licensors and is protected by Intellectual Property Rights. You may not reproduce, distribute, or exploit any Content without our prior written consent.
Deliverables produced for a Client become the Client's property upon payment in full, subject to our retention of archival records as required by law or the service agreement. We retain ownership of our pre-existing templates, tools, and processes.
You retain ownership of your Client Materials. By providing them, you grant us a non-exclusive license to use, reproduce, and process them as necessary to perform the Services.
We may suspend or terminate Services for invoices unpaid more than sixty (60) days, subject to the service agreement and applicable law. Mailbox rental services may be suspended for non-payment per the rental agreement.
Confidentiality is fundamental to our business. We handle calls, messages, mail, parcels, documents, customer lists, and campaign data with strict confidentiality.
Confidential Information includes call content, recordings and logs, message content, customer lists, campaign data, mail and parcel contents, documents provided for copying, and any other non-public information disclosed in the course of an Engagement.
We use Confidential Information solely to provide Services, protect it with reasonable care, and do not disclose it to third parties without consent, except as required by law, to bound employees and contractors, or per your instructions.
Confidentiality obligations survive termination for five (5) years, or indefinitely for trade secrets.
We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards for business support services. Reported deficiencies brought to our attention within thirty (30) days of delivery will be corrected or credited at our option.
Our Website is provided "as is" and "as available." We disclaim all warranties, express or implied, to the fullest extent permitted by law.
Answering, messaging, and dispatch services are performed per client instructions; we are not liable for the content of messages relayed or actions taken by parties we contact on your behalf. Telemarketing results are not guaranteed. Copying services reproduce documents as provided; we are not responsible for errors in source materials.
Private mailbox and parcel services are provided subject to applicable postal and carrier regulations. We are not responsible for the contents of mail or packages received on your behalf, for items prohibited by law or carrier rules, or for carrier delays or losses outside our control.
Our Services do not constitute legal, financial, or other professional advice. Office support, copying, and answering services are administrative in nature.
To the maximum extent permitted by applicable law, in no event shall CHRT HOLDINGS LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Website or Services. Our total aggregate liability shall not exceed the amount paid by you for the specific Services giving rise to the claim during the twelve (12) months preceding the event. For mail and parcel services, liability is further limited by the terms of the applicable rental agreement and carrier terms.
You agree to indemnify, defend, and hold harmless CHRT HOLDINGS LLC and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Client Materials, your instructions, your violation of these Terms, your violation of any applicable law (including telemarketing, postal, and communications regulations), items mailed or received through your mailbox, or the rights of any third party.
These Terms are effective upon your first use of the Website or Services and remain in effect until terminated. Engagements may be terminated per the service agreement; absent other terms, either party may terminate with thirty (30) days written notice. Outstanding fees become due upon termination. Mailbox rentals terminate per the rental agreement; unclaimed mail is handled per postal regulations.
Provisions that by their nature should survive — including confidentiality, intellectual property, limitation of liability, and indemnification — survive termination.
These Terms are governed by the laws of the State of Wyoming, United States. Any legal action shall be brought exclusively in the federal or state courts located in Sheridan County, Wyoming.

Our Website may link to third-party sites we do not control. We are not responsible for their content or practices. Our Services involve telecommunications carriers, shipping carriers, and other third parties; we are not responsible for their availability or performance.
We shall not be liable for failure or delay caused by events beyond our reasonable control, including natural disasters, telecommunications outages, power failures, government actions, postal or carrier disruptions, or labor disputes. If such an event continues more than thirty (30) days, either party may terminate the affected Engagement, with fees prorated.
These Terms, together with any service agreement, mailbox rental agreement, and our Privacy Policy, constitute the entire agreement between the parties. If any provision is held invalid, the remainder continues in effect. No waiver is effective unless in writing.
